3. Engagements, Fees & Payments
A professional engagement with AG Marketing will be considered established according to the terms specified in the applicable proposal, agreement, statement of work, or other written arrangement accepted by AG Marketing and the client.
Fees, deposits, payment schedules, payment methods, expenses, and other financial conditions may vary depending on the nature and scope of each engagement and will be communicated to the client before work begins.
Failure to make payments according to the applicable agreement may result in the suspension or postponement of services, deliverables, campaigns, or other work, subject to the terms of the applicable client agreement.
4. Client Responsibilities
Clients are responsible for providing accurate and timely information, materials, feedback, approvals, credentials, permissions, and access reasonably required for AG Marketing to perform the agreed services.
This may include access to websites, social media accounts, advertising platforms, analytics systems, brand assets, photographs, product information, and other resources relevant to the engagement.
Clients are responsible for ensuring that materials and information they provide to AG Marketing may lawfully be used for the intended purpose.
Delays in providing required information, materials, access, feedback, or approvals may affect project timelines, campaign launches, deliverables, or results.
5. Intellectual Property
Unless otherwise agreed in writing, all concepts, designs, copy, strategies, creative materials, and other work developed by AG Marketing remain the property of AG Marketing until all amounts due for the applicable work have been paid in full.
Upon full payment, the client will receive the rights to use the final approved deliverables as specified in the applicable proposal, agreement, or statement of work. Preliminary concepts, drafts, unused designs, working files, source files, methodologies, tools, templates, processes, and other proprietary materials of AG Marketing are not transferred unless expressly agreed in writing.
Third-party materials, including stock photography, fonts, software, music, video, trademarks, licensed assets, and other third-party content, remain subject to the rights and license terms of their respective owners.
Unless otherwise agreed in writing, AG Marketing may display completed work created for a client in its portfolio, website, social media, presentations, awards submissions, and other promotional materials, provided that doing so does not disclose confidential information.
6. Confidentiality
During the course of an engagement, AG Marketing and the client may have access to confidential or proprietary information belonging to the other party, including business plans, marketing strategies, customer information, pricing, financial information, credentials, internal documents, and other non-public information.
Each party agrees to use reasonable care to protect confidential information received from the other party and to use such information only for purposes related to the applicable engagement.
Confidential information does not include information that is publicly available through no breach of an obligation, was lawfully known before disclosure, is received lawfully from a third party without a duty of confidentiality, or is independently developed without use of the other party’s confidential information.
Additional confidentiality obligations may be established in a separate agreement, nondisclosure agreement (NDA), proposal, or statement of work between AG Marketing and the client.
7. Marketing Results & Third-Party Platforms
Marketing and advertising results may vary based on numerous factors beyond AG Marketing’s control, including market conditions, competition, audience behavior, client products or services, budgets, timing, platform policies, algorithms, and changes in technology.
AG Marketing does not guarantee specific results, including sales, leads, conversions, website traffic, search engine rankings, audience growth, advertising performance, or return on investment (ROI), unless expressly stated in a separate written agreement.
Certain services may rely on third-party platforms and services, including social media networks, search engines, advertising platforms, email providers, hosting services, analytics tools, and other technology providers. AG Marketing does not control these third parties and is not responsible for outages, account restrictions, policy changes, algorithm changes, service interruptions, or other actions taken by such providers.
AG Marketing will perform its services using commercially reasonable efforts and professional practices consistent with the scope of the applicable engagement.
8. Limitation of Liability
To the fullest extent permitted by applicable law, AG Marketing, LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, goodwill, or anticipated savings, arising from or related to the use of this website or the services provided by AG Marketing.
AG Marketing will not be responsible for losses or damages resulting from circumstances beyond its reasonable control, including actions or failures of third-party platforms, service providers, advertising networks, hosting providers, social media platforms, search engines, or other technology providers.
To the fullest extent permitted by applicable law, AG Marketing’s total liability arising out of or relating to a particular engagement will not exceed the fees actually paid to AG Marketing for the specific services giving rise to the claim during the six (6) months immediately preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits any liability that cannot lawfully be excluded or limited under applicable law.
9. Cancellation & Termination of Services
Either AG Marketing or the client may terminate an engagement in accordance with the cancellation or termination provisions established in the applicable proposal, service agreement, statement of work, or other written agreement.
Unless otherwise agreed in writing, the client remains responsible for all fees, expenses, third-party costs, and work performed or committed through the effective date of termination.
Payments for services already performed, work already completed, or costs already incurred or committed are non-refundable, except where otherwise required by applicable law or expressly agreed in writing.
AG Marketing may suspend or terminate services for material breach of an applicable agreement, including failure to make required payments, misuse of AG Marketing’s services, unlawful activity, or conduct that prevents AG Marketing from reasonably performing the agreed services.
Upon termination, each party will remain responsible for obligations that by their nature are intended to survive termination, including applicable payment, intellectual property, confidentiality, and limitation of liability obligations.
